These Terms and Conditions (“Agreement”) govern your use of the services provided by 'Indian Exim Solutions' (“Company”, “we”, “our”, or “us”). By engaging with our services, you (“Client”, “you”, or “your”) agree to be bound by this Agreement.
1. Scope of Services

2. Engagement & Project Commencement
All engagements begin with a written proposal or agreement outlining scope, deliverables, timeline, and payment terms. Work will commence once both parties have agreed upon the proposal and the required deposit (if any) has been received.
3. Client Responsibilities
The Client is responsible for providing timely access to information, resources, and approvals necessary for the execution of the project. Delays in client communication may affect delivery timelines.
4. Intellectual Property Rights
All intellectual property created by the Company during the engagement shall remain the Company’s property until full payment is received. Upon final payment, ownership of the project deliverables will be transferred to the Client, except for any third-party tools or libraries used under license.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation shall survive the termination of the agreement.
6. Payment Terms
- All payments are due as per the payment schedule outlined in the proposal or invoice.
- Late payments may incur a service charge of 2% per month or the maximum allowed by law.
- The Company reserves the right to suspend work if payments are delayed beyond the agreed period.
7. Revisions & Change Requests
Minor revisions are included within the scope unless otherwise stated. Major changes or scope expansions will be billed separately after mutual agreement.
8. Warranty and Support
We provide a limited warranty for defects or bugs for a period of 30 days after project delivery. Ongoing maintenance, support, or enhancements require a separate agreement or support contract.
9. Limitation of Liability
In no event shall the Company be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities arising out of the use or inability to use our services.
10. Termination
Either party may terminate this Agreement with written notice if the other party breaches any material obligation and fails to cure such breach within 15 days. In the event of termination, all outstanding payments for work completed shall become immediately due.
11. Force Majeure
The Company shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, failure of suppliers, or internet outages.
12. Governing Law
